Terms of Service

Welcome to PredicTrader.
These Terms of Service ("Terms," "Agreement") constitute a legally binding agreement between PredicTrader LLC ("PredicTrader," "Company," "we," "our," or "us") and every individual or entity ("User," "Customer," "Subscriber," "you," or "your") who accesses or uses the PredicTrader website, software, trial downloads, subscription services, customer portal, Partner Program, or any related products or services (collectively, the "Services").
By accessing, browsing, downloading, installing, purchasing, subscribing to, or otherwise using any portion of the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, Risk Disclosure, Refund Policy, and any other policies incorporated by reference.
If you do not agree to these Terms, you must immediately discontinue use of the Services.
1. Eligibility
To use the Services you represent and warrant that:
You are at least eighteen (18) years of age.
You possess the legal capacity to enter into binding contracts.
You are not prohibited by law from using the Services.
All registration information you provide is accurate and complete.
You will maintain the accuracy of your account information.
PredicTrader reserves the right to refuse service or terminate access to any individual or entity for any lawful reason.
2. Description of Services
PredicTrader develops software intended to assist traders by providing:
Automated trading strategies
Trading indicators
Market analysis tools
Alerts
Trading utilities
Educational materials
Documentation
Software updates
Customer support
Trial software
Subscription services
Partner Program services
PredicTrader is a software company.
PredicTrader is not:
A broker
A futures commission merchant
A registered investment adviser
A commodity trading advisor
A commodity pool operator
A securities dealer
A financial planner
PredicTrader does not execute trades on your behalf.
You alone determine whether and how to use the software.
3. Acceptance of Electronic Agreements
By creating an account, purchasing a subscription, downloading software, accepting a trial, enrolling in the Partner Program, or clicking any acceptance checkbox, you agree that your electronic acceptance has the same legal effect as a handwritten signature.
You consent to conduct business electronically.
4. User Accounts
Certain Services require creation of an account.
You agree to:
Provide accurate information.
Maintain current contact information.
Maintain a valid email address.
Keep your password confidential.
Restrict access to your account.
Notify PredicTrader immediately of unauthorized access.
You remain solely responsible for all activities occurring under your account.
PredicTrader is not responsible for losses resulting from unauthorized access caused by your failure to protect your credentials.
5. Email Verification
Certain Services require verification of your email address before access is granted.
PredicTrader may:
Suspend access
Delay downloads
Restrict features
until email verification is successfully completed.
Failure to maintain a valid email address may result in suspension or termination of your account.
6. Machine ID Licensing
PredicTrader software may require registration to a specific Machine ID or other licensing identifier.
By installing the software you acknowledge:
Licenses may be limited to one computer unless otherwise purchased.
Machine IDs are collected solely for licensing and fraud prevention.
Attempts to bypass licensing protections constitute a material breach of this Agreement.
PredicTrader may deactivate software licenses that are duplicated, modified, shared, or fraudulently activated.
PredicTrader reserves the right to require license revalidation after hardware changes or operating system modifications.
7. Trial Software
PredicTrader may offer free trials.
Trial availability, duration, and functionality are determined solely by PredicTrader.
Trial access may require:
Email verification
Machine ID
User registration
Acceptance of these Terms
PredicTrader may terminate or revoke trial access at any time.
PredicTrader is under no obligation to convert a trial into a paid subscription.
8. Subscription Services
Certain Services require recurring subscription payments.
Subscriptions remain active until:
cancelled,
suspended,
terminated,
or otherwise ended in accordance with these Terms.
Subscription plans, pricing, and included features are displayed on the PredicTrader website and may change from time to time.
Changes apply prospectively and do not affect fees already paid.
9. Billing and Payment
PredicTrader currently uses Stripe or other approved payment processors.
By purchasing a subscription you authorize PredicTrader and its payment processor to charge:
subscription fees,
applicable taxes,
renewal charges,
approved upgrades,
and other authorized charges.
You represent that you are authorized to use the selected payment method.
Failure to successfully process payment may result in suspension or cancellation of Services.
10. Automatic Renewal
Unless otherwise stated, subscriptions automatically renew at the end of each billing period.
You authorize recurring charges until cancellation.
It is your responsibility to cancel before the next renewal date.
Failure to cancel before renewal authorizes PredicTrader to process the next subscription payment.
11. Cancellation
Subscribers may cancel recurring subscriptions at any time through their account portal or by following the published cancellation procedures.
Cancellation stops future renewals.
Unless otherwise required by law, cancellation does not entitle you to:
refunds,
prorated credits,
partial reimbursements,
unused subscription value.
You remain responsible for charges incurred before cancellation becomes effective.
12. Refund Policy
Except where prohibited by applicable law or expressly stated otherwise:
All purchases are final.
PredicTrader does not guarantee refunds for:
dissatisfaction,
lack of usage,
trading performance,
compatibility issues,
misunderstanding of product features,
accidental purchases,
subscription renewals.
Refund requests may be reviewed on a case-by-case basis but approval remains solely within PredicTrader's discretion.
Nothing in this section limits any non-waivable consumer rights provided by applicable law.
13. Software License
Subject to your continued compliance with these Terms, PredicTrader grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the software solely for your own lawful trading activities.
This license does not transfer ownership of the software.
All rights not expressly granted are reserved by PredicTrader.
14. Permitted Use
You may use PredicTrader solely for your own internal trading activities.
Unless expressly authorized in writing, you may not:
Share your license.
Rent the software.
Lease the software.
Resell the software.
Distribute copies.
Host the software as a service.
Provide commercial access.
Share activation credentials.
Share Machine IDs.
Circumvent licensing restrictions.
15. Prohibited Conduct
You agree that you will not:
Reverse engineer any software.
Decompile any executable.
Modify licensing systems.
Bypass Machine ID protection.
Attempt unauthorized access.
Introduce malware.
Interfere with website security.
Attempt denial-of-service attacks.
Use automated scraping tools.
Harvest customer information.
Use bots without written authorization.
Violate applicable laws.
Upload malicious code.
Infringe intellectual property rights.
Impersonate PredicTrader employees.
Misrepresent the software.
Use the Services to commit fraud.
Violation of this section constitutes a material breach of this Agreement.
PredicTrader may immediately suspend or terminate your account without notice.
16. Acceptable Use Policy
Users must use the Services responsibly.
You agree not to:
interfere with other users,
overload system resources,
compromise website security,
upload harmful files,
exploit software vulnerabilities,
misuse customer support,
attempt to gain administrative privileges.
PredicTrader may monitor system activity to protect the integrity and security of its Services.
17. Software Updates
PredicTrader may release:
bug fixes,
enhancements,
new features,
security patches,
compatibility updates,
licensing updates.
Some updates may be mandatory.
Failure to install required updates may affect software functionality or continued support.
PredicTrader is not obligated to continue supporting outdated software versions.
18. Beta Features
PredicTrader may occasionally provide beta or preview features.
Beta features are provided "AS IS" and may contain defects.
PredicTrader makes no warranty regarding beta functionality, availability, or performance.
Beta features may be modified or discontinued without notice.
19. Customer Support
PredicTrader may provide customer support through:
Support tickets
Documentation
Video tutorials
FAQs
Remote assistance where offered
PredicTrader does not guarantee response times or issue resolution.
Support may be limited for expired trials, inactive subscriptions, or unsupported software versions.
20. Service Availability
PredicTrader strives to provide reliable Services but does not guarantee uninterrupted availability.
Maintenance, software updates, internet outages, third-party service failures, security incidents, or circumstances beyond PredicTrader's reasonable control may temporarily interrupt access.
PredicTrader shall not be liable for downtime or temporary service interruptions.

21. Intellectual Property
All rights, title, and interest in and to the Services, including all software, source code, object code, algorithms, artificial intelligence logic, trading models, indicators, strategies, user interfaces, website content, graphics, videos, documentation, text, databases, reports, trademarks, service marks, logos, trade names, designs, copyrights, patents, trade secrets, and all other intellectual property rights are and shall remain the exclusive property of PredicTrader or its licensors.
Nothing contained in these Terms transfers ownership of any intellectual property to you.
Except for the limited license expressly granted under these Terms, no other rights are granted by implication, estoppel, or otherwise.
22. Copyright and DMCA Policy
PredicTrader respects the intellectual property rights of others and expects users to do the same.
If you believe copyrighted material has been used on the Website in a manner that constitutes copyright infringement, you may submit a written notice containing:
Your name and contact information.
Identification of the copyrighted work.
Identification of the allegedly infringing material.
A statement that you have a good-faith belief the use is unauthorized.
A statement under penalty of perjury that the information provided is accurate.
Your physical or electronic signature.
PredicTrader reserves the right to remove allegedly infringing material, suspend user accounts, and terminate repeat infringers.
Submitting false copyright claims may expose the sender to legal liability.
23. Trademark Usage
"PredicTrader," its logos, slogans, product names, icons, and branding are trademarks or registered trademarks of PredicTrader LLC.
Without prior written permission, you may not:
Use PredicTrader trademarks in business names.
Register confusingly similar domain names.
Create websites that appear to be official PredicTrader websites.
Use PredicTrader branding in paid advertising.
Modify or alter company logos.
Remove copyright or trademark notices.
Represent yourself as an employee or authorized representative.
Limited use of PredicTrader trademarks by approved Partners is governed by the separate Partner Program Agreement.
24. Feedback
Any suggestions, feature requests, ideas, recommendations, comments, bug reports, or other feedback you voluntarily provide may be used by PredicTrader without restriction.
You grant PredicTrader a perpetual, worldwide, irrevocable, royalty-free license to use, modify, distribute, publish, and incorporate such feedback into its products and services without compensation or attribution.
25. Third-Party Services
The Services may integrate with or rely upon third-party providers, including but not limited to:
Stripe
Email delivery providers
Cloud hosting providers
Analytics providers
Authentication services
Trading platforms
Market data providers
PredicTrader does not control these third-party services and is not responsible for:
Their availability
Their security
Their pricing
Their policies
Their accuracy
Their downtime
Their actions or omissions
Your use of third-party services is subject to their respective terms and privacy policies.
26. Third-Party Trading Platforms
PredicTrader software may integrate with third-party trading platforms, including platforms such as NinjaTrader, TradingView, MetaTrader, or other supported software.
PredicTrader does not own or control these platforms.
Changes made by third-party platform providers may affect compatibility.
PredicTrader makes no guarantee that integrations will remain available indefinitely.
PredicTrader is not responsible for:
Platform outages
API changes
Broker issues
Exchange interruptions
Platform bugs
Data feed failures
27. Market Data Disclaimer
Market quotes, historical data, exchange information, news, indicators, and charts may originate from third-party providers.
PredicTrader does not warrant:
Accuracy
Timeliness
Completeness
Availability
Delayed, inaccurate, or interrupted market data may affect software functionality.
You acknowledge that market data providers may impose separate licensing requirements.
28. Trading Risk Disclosure
Trading futures, forex, stocks, options, cryptocurrencies, and other financial instruments involves substantial risk.
You may lose all or more than your initial investment.
Only risk capital should be used for trading.
Trading is not suitable for every investor.
Market conditions can change rapidly and unexpectedly.
Leverage significantly increases financial risk.
Past performance is not necessarily indicative of future results.
You alone assume all risks associated with your trading decisions.
29. No Investment Advice
PredicTrader provides software tools designed to assist traders.
Nothing provided through the Services constitutes:
Investment advice
Financial advice
Tax advice
Legal advice
Brokerage services
Portfolio management
Fiduciary services
PredicTrader does not recommend buying or selling any financial instrument.
All trading decisions remain solely yours.
30. No Performance Guarantee
PredicTrader makes no representation or warranty that use of the Services will result in:
Profits
Successful trades
Reduced losses
Increased account balances
Improved trading performance
Successful evaluations
Funding approval
Every trader's experience differs based upon market conditions, account size, trading discipline, risk management, broker execution, and numerous other factors beyond PredicTrader's control.
31. Hypothetical Performance Disclosure
Any hypothetical, simulated, back-tested, optimized, or historical performance results displayed by PredicTrader are presented solely for educational purposes.
Hypothetical performance has inherent limitations.
Unlike actual trading, simulated trading does not involve financial risk.
Because simulated trades benefit from hindsight, actual trading results frequently differ significantly.
No representation is made that any account will achieve profits or losses similar to those illustrated.
32. Artificial Intelligence and Automated Trading Disclaimer
Certain PredicTrader products may incorporate automation, artificial intelligence, machine learning, predictive analytics, statistical models, or rule-based decision support.
These technologies assist users but do not replace human judgment.
Artificial intelligence systems may:
Generate incorrect signals.
Miss trading opportunities.
Produce false positives.
Produce false negatives.
React unpredictably to unusual market conditions.
Users remain solely responsible for supervising all automated activity.
PredicTrader strongly recommends monitoring automated trading at all times.
33. Educational Purposes
Educational materials provided through the Services are intended solely for informational purposes.
Examples shown within tutorials, videos, webinars, documentation, or demonstrations should not be interpreted as recommendations to trade.
34. User Content
If you submit comments, testimonials, reviews, screenshots, suggestions, forum posts, or other content, you grant PredicTrader a worldwide, perpetual, royalty-free, sublicensable license to use, reproduce, publish, display, modify, and distribute such content for lawful business purposes.
You represent that you own or have permission to submit such content.
PredicTrader may remove user content at its discretion.
35. Privacy
Your use of the Services is also governed by the PredicTrader Privacy Policy.
By using the Services, you consent to the collection, use, storage, and processing of information as described in the Privacy Policy.
If there is any conflict between these Terms and the Privacy Policy regarding privacy matters, the Privacy Policy shall control.
36. Electronic Communications
By using the Services, you consent to receive communications electronically.
PredicTrader may send notices through:
Account dashboard
Website notifications
Support portal
In-app messages
Electronic communications satisfy any legal requirement that notices be in writing.
You are responsible for maintaining a current email address.
37. Export Controls and Sanctions
You represent and warrant that:
You are not located in any country subject to comprehensive U.S. sanctions.
You are not listed on any sanctions list maintained by the United States, including those administered by the U.S. Department of the Treasury's Office of Foreign Assets Control (OFAC).
You will not use the Services in violation of any applicable export control or sanctions laws.
PredicTrader may immediately suspend or terminate access to comply with applicable law.
38. Compliance with Laws
You agree to comply with all applicable:
Federal laws
State laws
Local laws
International laws
Exchange rules
Broker requirements
Export regulations
You are solely responsible for determining whether use of the Services is lawful in your jurisdiction.
39. Monitoring and Enforcement
PredicTrader reserves the right, but not the obligation, to monitor use of the Services for purposes including:
Security
Fraud prevention
System integrity
License compliance
Technical support
Abuse detection
PredicTrader may investigate suspected violations and cooperate with law enforcement where appropriate.
40. Suspension and Termination
PredicTrader may suspend, restrict, or terminate access to the Services immediately, with or without notice, if:
You breach these Terms.
You violate applicable laws.
You engage in fraud.
You misuse the software.
You circumvent licensing.
You compromise system security.
Required payments are not received.
Continued access presents legal, operational, or security risks.
Termination does not affect rights or obligations accrued before termination.
Upon termination:
Your license immediately ends.
You must cease using the software.
You must destroy unauthorized copies in your possession.
PredicTrader may deactivate licenses and disable account access.

41. Disclaimer of Warranties
THE SERVICES ARE PROVIDED ON AN "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS" BASIS.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PREDICTRADER DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO:
Merchantability
Fitness for a particular purpose
Non-infringement
Accuracy
Reliability
Availability
Compatibility
Security
Uninterrupted operation
PredicTrader does not warrant that:
The Services will always be available.
The software will operate without interruption.
Errors or defects will be corrected immediately.
The Services will meet your expectations.
The Services will be compatible with every computer, broker, operating system, trading platform, or future software version.
Trading signals, alerts, or automated strategies will perform as expected under all market conditions.
You assume all risks arising from your use of the Services.
42. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PREDICTRADER, ITS OWNERS, MEMBERS, DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, LICENSORS, AFFILIATES, SUCCESSORS, AND ASSIGNS SHALL NOT BE LIABLE FOR ANY:
Trading losses
Lost profits
Lost business opportunities
Lost goodwill
Lost revenue
Loss of anticipated savings
Loss of data
Loss of use
Business interruption
System failures
Exchange outages
Broker outages
Platform failures
Internet interruptions
Incidental damages
Consequential damages
Indirect damages
Special damages
Exemplary damages
Punitive damages
regardless of the legal theory asserted, including contract, negligence, tort, strict liability, warranty, or otherwise.
PredicTrader shall not be liable even if advised of the possibility of such damages.
43. Maximum Liability
If PredicTrader is found liable for any claim arising out of these Terms or the Services, PredicTrader's total cumulative liability shall not exceed the greater of:
The total subscription fees actually paid by you to PredicTrader during the twelve (12) months immediately preceding the event giving rise to the claim; or
One hundred U.S. dollars (US $100.00),
whichever amount is greater.
Some jurisdictions do not permit certain liability limitations. In those jurisdictions, liability shall be limited to the fullest extent permitted by applicable law.
44. Indemnification
You agree to defend, indemnify, and hold harmless PredicTrader LLC and its owners, officers, directors, employees, contractors, licensors, successors, affiliates, agents, and representatives from and against any and all claims, actions, liabilities, damages, judgments, settlements, penalties, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to:
Your use of the Services;
Your trading activities;
Your violation of these Terms;
Your violation of any law or regulation;
Your infringement of any intellectual property rights;
Your misuse of the software;
Any content you submit;
Your negligent or wrongful acts.
This obligation survives termination of your account.
45. Force Majeure
PredicTrader shall not be liable for delays or failures in performance caused by events beyond its reasonable control, including but not limited to:
Natural disasters
Fires
Floods
Earthquakes
Pandemics
Epidemics
War
Terrorism
Civil unrest
Government actions
Labor disputes
Internet failures
Utility failures
Cloud service outages
Data center failures
Cyberattacks
Distributed denial-of-service (DDoS) attacks
Broker outages
Exchange outages
Third-party software failures
Payment processor interruptions
Performance shall be suspended for the duration of the force majeure event.
46. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Nevada, United States, without regard to conflict-of-law principles.
The United Nations Convention on Contracts for the International Sale of Goods (CISG) shall not apply.
47. Arbitration Agreement
PLEASE READ THIS SECTION CAREFULLY.
IT AFFECTS YOUR LEGAL RIGHTS.
Except where prohibited by law, any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall be resolved exclusively by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules then in effect.
Arbitration shall:
Be conducted in English.
Take place in Clark County, Nevada, unless otherwise required by law.
Be conducted before a single arbitrator.
Be final and binding.
Judgment upon the arbitration award may be entered in any court having jurisdiction.
Either party may seek temporary or preliminary injunctive relief from a court of competent jurisdiction to protect intellectual property or confidential information pending arbitration.
48. Class Action Waiver
To the fullest extent permitted by law:
You and PredicTrader agree that each may bring claims against the other only in an individual capacity.
Neither party may:
Participate in a class action.
Participate in a collective action.
Participate in a representative action.
Serve as a class representative.
Join claims with other users.
If this Class Action Waiver is found unenforceable, the arbitration provisions shall be deemed void only to the extent required by applicable law.
49. Time Limitation for Claims
To the maximum extent permitted by law, any claim arising out of or relating to the Services must be commenced within one (1) year after the cause of action arises.
Claims filed after that period are permanently barred.
This limitation does not apply where prohibited by applicable law.
50. Assignment
You may not assign, transfer, sublicense, delegate, or otherwise transfer your rights or obligations under these Terms without PredicTrader's prior written consent.
PredicTrader may freely assign or transfer these Terms in connection with:
A merger
Acquisition
Sale of assets
Corporate restructuring
Financing transaction
Change of ownership
These Terms shall bind and benefit each party's successors and permitted assigns.
51. No Waiver
Failure by PredicTrader to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
Any waiver must be in writing and signed by an authorized representative of PredicTrader.
52. Severability
If any provision of these Terms is determined to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, that provision shall be enforced to the maximum extent permitted by law.
The remaining provisions shall remain in full force and effect.
53. Survival
The following provisions shall survive termination or expiration of these Terms:

Any other provisions that by their nature should survive.
54. Changes to these Terms
PredicTrader may modify these Terms from time to time.
When material changes are made, PredicTrader may provide notice by:
Customer Dashboard
Website posting
Login notification
In-application notice
Changes become effective on the date specified in the notice.
Your continued use of the Services after the effective date constitutes acceptance of the revised Terms.
If you do not agree to the revised Terms, you must discontinue use of the Services.
55. Entire Agreement
These Terms, together with the following documents, constitute the complete and exclusive agreement between you and PredicTrader concerning the Services:

Risk Disclosure
Refund Policy
Cookie Policy
Partner Program Agreement (where applicable)
Any order forms or subscription agreements expressly incorporated by reference
These documents supersede all prior or contemporaneous oral or written communications regarding the Services.

Questions regarding these Terms may be directed through the contact information published on the official PredicTrader website.
If PredicTrader publishes a designated legal contact email, notices required under these Terms shall be sent to that address.
57. Acceptance of Terms
BY ACCESSING THE WEBSITE, CREATING AN ACCOUNT, DOWNLOADING SOFTWARE, STARTING A FREE TRIAL, PURCHASING A SUBSCRIPTION, PARTICIPATING IN THE PARTNER PROGRAM, OR OTHERWISE USING THE SERVICES, YOU ACKNOWLEDGE THAT:
You have read these Terms of Service;
You understand these Terms of Service;
You agree to be legally bound by these Terms of Service;
You consent to receive communications electronically;
You have reviewed the Privacy Policy and Risk Disclosure;
You understand that trading involves substantial financial risk;
You understand that PredicTrader provides software tools only and does not provide investment advice;
You accept responsibility for all trading decisions made using the Services.
Your electronic acceptance has the same legal force and effect as a handwritten signature.
58. Effective Date
These Terms of Service are effective as of July 13, 2026, and remain in effect until modified or replaced by PredicTrader.
